ForgeApp Client Software Licence and Assignment
Version 1.0 · Last updated
Template drafted for ForgeApp; have a UAE lawyer review before relying on it.
This agreement is written in plain English. You accept it in your ForgeApp dashboard before you approve the build.
1. Parties
- ForgeApp, Dubai, United Arab Emirates ("we", "us").
- The client, the person or company named on the order ("you").
It applies to the project described in your order and your approved Day-1 Blueprint.
2. Definitions
- Deliverables: the source code, data, designs, text and documents we create specifically for your project, as listed in your Blueprint and delivered at handover.
- Third-party components: software, fonts, images, services or libraries made by others and used in the Deliverables, such as open-source packages or payment and hosting services.
- ForgeApp Toolkit: our generic boilerplate, components, templates, scripts and tooling that we reuse across projects and that are not specific to you.
- Final payment: payment in full of the price on your order, including the final invoice.
3. What you get on final payment
When we have received the final payment:
- Ownership of the Deliverables. We assign to you all our rights in the project-specific code, data, design and content. You own them fully. You may use, change, sell or build on them without asking us.
- A licence to the Toolkit. For any ForgeApp Toolkit parts included in the Deliverables, we grant you a perpetual, worldwide, irrevocable, royalty-free licence to use, copy, change and host them as part of your product. You may not sell or give away the Toolkit on its own, or as a template, starter kit or boilerplate.
Until final payment, the Deliverables stay ours and you may use the staging version only to review the work.
4. What we keep
- The ForgeApp Toolkit and all rights in it.
- The right to build similar products for other clients, using our general skills, methods and Toolkit. We will not reuse your confidential data, your brand or your private business content.
- The right to show the project in our portfolio and marketing (name, screenshots and a short description), unless you tell us in writing that you opt out. You can opt out at any time and we will remove it within a reasonable time.
5. Third-party licences pass through
Third-party components keep their own licences. By accepting this agreement you also accept those licences for the parts you use. We will list the main ones in the documentation we give you. Fees charged by third parties (for example payment fees, hosting, domain renewals or AI usage) are paid by you directly to them.
6. Accounts and credentials
At handover we open or transfer the accounts for your project in your name or your company's name: repository, domain, hosting and payments account, as set out in your handover summary. We give you the access details securely. After handover we will not keep access we do not need, and we will only use access you give us to provide support you have asked for.
7. Warranty
For 30 days after handover we will fix, free of charge, any defect where the Deliverables do not work as described in the agreed scope (your Blueprint and acceptance checklist). To use this, tell us in writing what is wrong.
This does not cover: changes or new features, problems caused by changes made by you or others, third-party services, or content you provided.
Except for this, we give no other warranty, express or implied, as far as the law allows. We do not promise that the product will be error-free, earn money or meet a result.
8. Limit of liability
As far as the law allows, our total liability to you under or in connection with this agreement, for any cause, is limited to the fees you have paid us for the project. We are not liable for lost profit, lost revenue, lost data or indirect or consequential loss. Nothing here limits liability that cannot be limited by law.
9. Support after delivery
Support after the 30-day warranty is not included. It is a separate add-on, for example Ongoing support (3,600 AED a year) or a vibe-coding session. Prices are on forgeapp.ae. Launch Ready includes 30 days of post-launch support as described on your order; this does not extend the warranty above.
10. Confidentiality
Each side will keep the other's non-public information confidential and use it only for this project, unless the law requires disclosure.
11. Governing law
This agreement is governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates. Disputes go to the courts of Dubai.
12. Acceptance
You accept this agreement by ticking the box and typing your full name in your ForgeApp dashboard. We record the date and time, the name you type, your IP address and this version number. That record is evidence that you accepted.
If you are signing for a company, you confirm that you are authorised to do so.
